Introduction

The transformation of the state-owned enterprise BELMA into a sole-shareholder company of the State Treasury under the name Bydgoskie Zakłady Elektromechaniczne "BELMA" S.A. took place in 1994 on the basis of the Act of February 5, 1993 on ownership transformations of certain state-owned enterprises of particular importance to the state economy (Journal of Laws No. 16 item 69, as amended). That same year – in September – BZE “BELMA” S.A. was entered into the commercial register under the number RHB-3342 based on the decision of the District Court in Bydgoszcz, 8th Commercial Division. Currently, Bydgoskie Zakłady Elektromechaniczne „BELMA” S.A. are listed in the National Court Register (KRS No. 0000035694), XIII Commercial Division of the National Court Register of the District Court in Bydgoszcz.

At the end of 2009, 85.19% of the Company's shares were contributed to the BUMAR Group on the basis of the "Consolidation Strategy and Support for the Development of the Polish Defence Industry in 2007–2012" adopted by the Council of Ministers on 31 August 2007, in which Bumar Sp. z o.o. was the leading company and the implementer of the consolidation and integration of the Polish defense industry. The remaining 14.81% of shares held by the State Treasury were made available to eligible employees. On March 31, 2012, the process of making shares available was completed, as a result of which:

53,883 shares were taken up by eligible employees, which constitutes 12.29% of all shares,

11,037 shares remained at the disposal of the State Treasury, which constitutes 2.52%.

August 31, 2011 367,880 shares, i.e. 85.19% of the Company's shares belonging to Bumar Sp. z o.o. were transferred to ZM "MESKO" S.A. on the basis of an agreement on share subscription and non-cash contribution dated August 31, 2011.

After the completion of the consolidation process of the state defense industry, Polska Grupa Zbrojeniowa S.A. was joined by companies previously belonging to Polski Holding Obronny Sp. z o.o., including Bydgoskie Zakłady Elektromechaniczne "BELMA" S.A. At that time, the State Treasury transferred its shares in BELMA to Polska Grupa Zbrojeniowa S.A.

In December 2022, a block of 2.52% of shares belonging to PGZ S.A. was sold to MESKO S.A. - the only majority shareholder of the Company.
